LICENSE AGREEMENT TERMS

STANDARD LICENSE

By purchasing, downloading, accessing, or using any instrumental beat ("Beat") from dny ("Producer"), the purchaser ("Licensee") agrees to the following terms.

Grant of License

Producer grants Licensee a non-exclusive, non-transferable, revocable license to use the Beat solely for the creation of one (1) original musical composition and sound recording.

This is a license only. Ownership of the Beat is not transferred.

Ownership

Producer retains all right, title, and interest in and to:

  • The Beat
  • The instrumental recording
  • The underlying musical composition
  • Any associated copyrights

Licensee acquires no ownership rights in the Beat.

Permitted Uses

Licensee may:

  • Record vocals over the Beat.
  • Distribute and monetize the resulting song.
  • Upload the song to streaming services.
  • Upload the song to social media platforms.
  • Perform the song publicly.
  • Use the song for promotional purposes.

Usage Limits

Unless otherwise stated at the time of purchase, this license permits:

  • Up to 100,000 audio streams.
  • Up to 100,000 video views.
  • Up to 2,500 paid downloads or physical sales.

Any use exceeding these limits requires an upgraded license.

Credit

Where commercially reasonable, Licensee shall credit Producer as:

"Produced by dny"

Publishing and Royalties

Producer shall receive fifty percent (50%) of the writer's share and fifty percent (50%) of the publisher's share of the underlying composition unless otherwise agreed in writing.

Licensee is responsible for registering the work accurately with any performing rights organization.

Restrictions

Licensee may not:

  • Resell the Beat.
  • Redistribute the Beat in any form.
  • Transfer this license to another party.
  • Claim ownership of the Beat.
  • Register the Beat by itself with any copyright office.
  • Register the Beat in any Content ID system without written approval from Producer.

Content ID

Licensee may not register the Beat or any derivative work utilizing the Beat with YouTube Content ID, Meta Rights Manager, TikTok Rights Management, or any similar content identification service without prior written permission.

Termination

Producer reserves the right to terminate this license if Licensee violates any provision of these terms.

Upon termination, all rights granted herein immediately cease.

Limitation of Liability

Producer shall not be liable for indirect, incidental, consequential, or special damages arising from the use of the Beat.

Acceptance

Use of the Beat constitutes acceptance of these terms.

 

EXCLUSIVE LICENSE  

Last Updated: June 1, 2026

By purchasing an Exclusive License for a Beat from dny, Licensee agrees to the following terms.

Grant of Exclusive License

Producer grants Licensee an exclusive commercial license to use the Beat worldwide.

Following the sale of the Exclusive License, Producer will cease offering new licenses for the Beat.

Any licenses granted prior to the Exclusive License sale shall remain valid.

Ownership

Producer retains ownership of the Beat and underlying composition unless expressly transferred through a separate written agreement.

This license grants exclusive usage rights, not copyright ownership.

Rights Granted

Licensee may:

  • Commercially release recordings using the Beat.
  • Monetize recordings without stream limitations.
  • Distribute recordings worldwide.
  • Synchronize recordings with video content.
  • Perform recordings publicly.
  • Promote and advertise recordings.

Producer Credit

Licensee shall provide credit as:

"Produced by dny"

where commercially reasonable.

Publishing

Unless otherwise agreed in writing:

  • Producer retains 50% writer ownership.
  • Licensee retains 50% writer ownership.

Both parties shall accurately register publishing and songwriting splits.

Restrictions

Licensee may not:

  • Sell or transfer ownership of the Beat.
  • Claim sole authorship of the instrumental composition.
  • Remove Producer from publishing registrations.
  • Register ownership of the Beat itself.

Content ID

Licensee may register derivative works utilizing the Beat with Content ID systems only if authorized by Producer or specifically included in the purchase terms.

Refunds

All exclusive license purchases are final and non-refundable.

Limitation of Liability

Producer shall not be liable for any indirect or consequential damages arising from use of the Beat.

Acceptance

Purchase, download, receipt, or use of the Beat constitutes acceptance of these terms.
